These Terms of Service ("Terms") govern access to and use of Valeh, a digital asset valet service that lets event staff check items in and out on behalf of their owners ("Valeh" or the "Service"). The Service is operated by Caestudy ("Caestudy", "we", "us").
By creating a worker or manager account, configuring an event, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer"). If you do not agree, do not use the Service.
Valeh is used by two kinds of people, and these Terms apply a little differently to each:
Valeh provides software for capturing check-in photos, generating SMS retrieval tickets with a QR code, and giving event managers live visibility into asset status. The Service is provided on an "as available" basis and may be updated, changed, or temporarily unavailable from time to time, including for maintenance.
Valeh is a record-keeping and notification tool. Customers and their workers remain solely responsible for the physical custody, security, and condition of any item checked in using the Service.
Worker and manager accounts are issued by an event's Customer organization and must not be shared outside the staff authorized to use them. You agree to:
Where use of the Service is subject to a fee, the applicable pricing and billing terms will be set out separately in an order form, invoice, or written agreement with the Customer. Nothing in these Terms creates a payment obligation on its own.
Valeh, its name, logo, and the Service's underlying software and design are owned by Caestudy. These Terms do not grant Customers or workers any ownership in the Service — only a limited, non-exclusive right to use it for its intended purpose during an active event.
Customers retain ownership of the photos, event logs, and other content they submit through the Service ("Customer Content"). By submitting Customer Content, Customers grant Caestudy a limited license to host, process, and display it solely to operate the Service.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that SMS messages will be delivered without delay, as delivery depends on third-party carriers outside our control.
To the fullest extent permitted by law, Caestudy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of an asset, profits, or data, arising from use of the Service. Caestudy's total liability for any claim relating to the Service will not exceed the amount the Customer paid for the Service in the three months preceding the claim, or one hundred Canadian dollars (CAD $100) if no fees were paid.
Nothing in these Terms limits liability that cannot be limited under applicable law.
The Customer agrees to indemnify and hold Caestudy harmless from any claim arising from the Customer's or its workers' misuse of the Service, violation of these Terms, or handling of a physical asset checked in through the Service.
Valeh relies on third-party providers — including SMS delivery, cloud hosting, and DNS infrastructure — to operate. These providers are described in our Privacy Policy. Caestudy is not responsible for outages or failures originating from these third-party providers.
We may suspend or terminate access to the Service for any account or organization that violates these Terms. A Customer may stop using the Service at any time; sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.
We may update these Terms as the Service evolves. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
